Objective:
Associates of the Company shall maintain the highest ethical standards in the conduct of the affairs of the Company. The intent of this
policy is that each Associate will conduct Company business with integrity and comply with all applicable laws in a manner that does not
involve considerations of personal gain or profit. The following summarizes the Company's policy regarding (1) gifts, favors,
entertainment and payments given or received by Company associates, (2) potential conflicts of interest, and (3) certain other matters:
General Policy Application:
Gifts, favors and payments by the company: Gifts, favors and payments may be given to others at the expense of the company, if they
meet all of the following criteria:
1. They conform to accepted business practices
2. They are of sufficiently limited value and are in a form that would not be regarded as a bribe or kickback
3. They do not violate applicable law and generally accepted ethical standards; And
4. Public disclosure of facts shall not embarrass the Company Payment, commission or other compensation to or for the benefit of
associates (or their family members or associates) of customers that are not required by written contract, are contrary to company policy.
Gifts, favors, entertainment and payments received by associates of the company:
1. Associates shall not solicit or accept any gift, favor, entertainment, payment for themselves or others without a legitimate business
